TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WINGS OVER, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;

IN JURISDICTIONS WHERE LIMITATIONS ON LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES ARE NOT PERMITTED, WINGS OVER'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN ALL CASES, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WINGS OVER IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some states do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

8. Indemnification

You agree to defend, indemnify, and hold harmless Wings Over and its owners, officers, directors, employees, agents, contractors, affiliates, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Site or any services provided through it;
• Your violation of any applicable federal, state, or local law or regulation;
• Your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or contractual rights;

Wings Over reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims. You shall not settle any claim without the prior written consent of Wings Over.

9. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to them or your use of the Site shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which Wings Over operates, without regard to conflict of law principles.

To the extent that any dispute is not subject to the arbitration agreement set forth in Section 10 below, you and Wings Over agree to submit to the personal jurisdiction of the state and federal courts located within the relevant judicial district of the state in which Wings Over's principal place of business is located. 10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (collectively, "Disputes") informally by contacting Wings Over at [email protected]. You and Wings Over agree to use good faith efforts to resolve the Dispute within thirty (30) calendar days of the date of notice. During this period, both parties agree to negotiate in good faith without resort to formal legal process.

10.2 Binding Arbitration

If a Dispute cannot be resolved informally within the 30-day period specified above, you and Wings Over agree that any remaining Dispute shall be resolved exclusively through binding individual arbitration in accordance with the rules of the American Arbitration Association ("AAA"), including the AAA's Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties.

By agreeing to arbitration, both parties waive the right to a trial by jury and the right to participate in a class action lawsuit or class-wide arbitration. The arbitrator shall have the authority to award any remedy that would be available in a court of competent jurisdiction, including injunctive relief and attorneys' fees, to the extent permitted by applicable law.

10.3 Class Action Waiver

YOU AND WINGS OVER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

10.4 Exceptions

Nothing in this Section shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent harm to its intellectual property rights, confidential information, or security interests, pending the outcome of arbitration.

Residents of states that prohibit mandatory pre-dispute arbitration agreements for consumer claims may not be subject to the arbitration provision above. In such cases, the dispute resolution mechanism shall be the applicable state courts with jurisdiction over the relevant matter.

11. Term and Termination

These Terms are effective as of the date you first access or use the Site, or the date indicated at the top of this page, whichever is earlier, and shall remain in full force and effect until terminated in accordance with the provisions herein.
